Acceptance and scope

These Terms and Conditions (“Terms”) are an agreement between you and Socrates Investments Academy LLC (“Socrates Investments,” “we,” “us,” or “our”). They govern your access to and use of our website, Discord server, free and paid memberships, live sessions, educational materials, alerts, bots, applications, support systems, leveling and reward programs, and related products and services (collectively, the “Service”).

By purchasing, accessing, or using any part of the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not purchase or use the Service.

Eligibility

You may use the Service only if:

• You are at least 18 years old.
• You have legal capacity to enter into a binding agreement.
• Your use is lawful where you live and does not violate another agreement binding you.
• You provide accurate information and do not impersonate another person or entity.

The Service is not offered where prohibited by law. We may request information reasonably necessary to confirm eligibility, membership, identity, or account ownership.

Educational purpose and trading risk

All sessions, commentary, alerts, market observations, examples, opinions, tools, bot responses, discussions, and other content are provided solely for general educational and informational purposes. Nothing in the Service is individualized investment advice, a recommendation to buy or sell, a solicitation, a guarantee, or a promise of profit.

Use of the Service does not create an investment-adviser, broker-client, fiduciary, attorney-client, tax-adviser, or similar professional relationship. You should independently evaluate information and consult appropriately licensed professionals when needed.

Trading involves substantial risk. Markets can move rapidly, information may become outdated, execution conditions vary, and losses—including the loss of all capital committed to trading—are possible. Past performance, demonstrations, hypothetical results, community outcomes, and statements by staff or members do not guarantee future results.

You are solely responsible for determining whether any trade, strategy, account size, risk level, broker, proprietary-trading firm, or financial instrument is appropriate for you. Never trade money you cannot afford to lose.

Memberships, payments, and renewals

Some portions of the Service require a paid recurring membership or one-time purchase. Purchases are processed through LaunchPass and its payment providers. Their terms and privacy policies also apply to transactions processed through their services.

• Recurring billing: recurring memberships are billed in advance according to the billing interval displayed at checkout and renew automatically until canceled.
• Authorization: by purchasing a recurring membership, you authorize the applicable payment provider to charge the payment method on file at each renewal.
• Failed payments: failed or reversed payments may result in retry attempts, restricted access, role removal, or suspension.
• Taxes and fees: you are responsible for taxes or charges applicable to your purchase unless applicable law requires otherwise.
• Pricing: changing the public price generally affects new subscribers only. Existing LaunchPass subscribers ordinarily retain the recurring price associated with their original subscription while it remains continuously active.

If we ever seek to change an existing subscriber’s recurring price, we will use the process supported by our payment providers and provide advance notice as required by applicable law. Canceling and later repurchasing may cause you to lose a previously grandfathered price.

Cancellation

You may cancel a recurring membership through the LaunchPass customer portal or by requesting assistance through our Contact page or Discord support system. Unless immediate cancellation is requested or required for enforcement or security reasons, cancellation normally takes effect at the end of the current paid billing period.

After cancellation is scheduled, you ordinarily retain applicable paid access until the end of that billing period, and no further recurring charge should occur. Cancellation does not automatically generate a refund for prior charges or unused time.

You are responsible for completing cancellation before the next renewal date. Contact support promptly if you experience a cancellation or billing problem.

Refunds and payment disputes

Except where required by law, memberships and one-time purchases—including Lifetime purchases—are non-refundable. We may grant a full or partial refund for a verified duplicate or erroneous charge, a qualifying technical failure, or another circumstance that we determine warrants an exception.

Any discretionary refund is voluntary, decided case by case, and does not create an obligation or precedent for other users or future requests. Use of some or all of a paid benefit, failure to cancel before renewal, dissatisfaction with trading outcomes, or failure to use the Service generally does not entitle a user to a refund.

Before initiating a chargeback or payment dispute, please contact us so we can investigate and attempt to resolve the issue. If a chargeback, reversal, or payment dispute is initiated, we may temporarily suspend associated access while the dispute is reviewed. Fraudulent, abusive, or repeated payment disputes may result in permanent termination. Nothing in this paragraph limits rights that cannot lawfully be waived.

Meaning of Lifetime access

“Lifetime” access means access for the operating life of the applicable Socrates Investments membership or service—not the biological lifetime of the purchaser and not a guarantee that the company, community, platform, or particular features will exist indefinitely.

A valid Lifetime purchase and its associated role remain active while Socrates Investments Academy LLC continues operating the applicable service, subject to these Terms, community rules, platform availability, technical limitations, and lawful operational changes.

Lifetime access may end without refund if the applicable service permanently ceases operations, if continued access becomes unlawful or technically impossible, or if the purchaser is terminated for fraud, chargeback abuse, account sharing, security threats, or violations of these Terms. Where practical, we may replace or modify particular features while seeking to preserve the overall nature of the membership.

Membership benefits, live sessions, and scheduling

Memberships may include live sessions, alerts, educational content, specialized tools, community channels, mentorship, one-on-one sessions, or other benefits described at the time of purchase.

Benefits depend on staff availability, operational capacity, platform availability, scheduling policies, and fair-use limits. We do not guarantee immediate, on-demand, unlimited, or uninterrupted access to instructors, mentors, staff, sessions, channels, tools, or other features.

Morning live sessions are generally scheduled on weekdays and generally conclude no later than 11:00 AM Eastern Time. Sessions are live and are not recorded. Schedules, session duration, instructors, instruments discussed, and availability may change because of holidays, market conditions, illness, emergencies, maintenance, or other operational needs.

One-on-one or appointment-based benefits may be subject to booking-frequency limits, cancellation rules, no-show rules, availability windows, and other fair-use measures intended to provide equitable access. Additional scheduling terms may be displayed during booking.

XP, roles, trials, merchandise, and rewards

Community XP, levels, roles, boosts, trials, tokens, badges, discounts, merchandise, recognition, and other rewards are promotional community features. Unless expressly stated otherwise:

• Rewards have no cash value, are not property, and cannot be redeemed for money.
• Rewards are non-transferable except through an expressly authorized feature, such as an official Transfer Token.
• Eligibility, thresholds, availability, quantities, fulfillment methods, expiration, and benefits may be changed, suspended, substituted, or discontinued at our discretion.
• Automated calculations or awards may be corrected when affected by error, exploitation, manipulation, abuse, or technical failure.
• Trials, merchandise, and manually fulfilled benefits may require a support ticket and verification.
• We may deny, revoke, or adjust rewards obtained through spam, artificial activity, alternate-account abuse, automation, harassment, fraud, rule violations, or attempts to manipulate the system.

Descriptions on the XP & Rewards page are part of the current program but do not guarantee permanent availability. “Lifetime” rewards are also governed by Section 7.

Community conduct

You agree not to:

• Harass, threaten, stalk, discriminate against, abuse, or personally attack another person.
• Present opinions as guaranteed outcomes, offer unauthorized investment advice, or direct others to place specific trades as though acting as their adviser.
• Spam, advertise, solicit, promote competing services, or send unwanted commercial messages.
• Ask members for money, solicit payment for trading or proprietary-firm accounts, panhandle, or conduct unauthorized fundraising.
• Impersonate another user, staff member, affiliate, or representative of Socrates Investments.
• Post or distribute content that is unlawful, fraudulent, defamatory, infringing, malicious, or harmful.
• Share another person’s private information without authorization, including addresses, phone numbers, credentials, identification, or financial information.
• Hack, phish, distribute malware, evade bans, exploit vulnerabilities, interfere with bots or systems, manipulate rewards, conduct denial-of-service activity, or disrupt normal operation.
• Scrape, record, copy, redistribute, resell, rebroadcast, or commercially exploit protected Service content without written permission.
• Misuse the Service in a way that compromises its integrity, safety, educational purpose, or the experience of other members.

Security vulnerabilities must be reported privately through the Contact page or Discord support—not tested against users or exploited.

User content and feedback

You retain ownership of content you submit, subject to the rights needed to operate the Service. You represent that you own or have permission to use your content and that it does not violate law or another person’s rights.

By submitting content within the Service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, moderate, and otherwise use that content as reasonably necessary to operate, secure, administer, and improve the Service. This license ends when the content is deleted except where continued retention is reasonably necessary for backups, legal compliance, moderation, security, dispute resolution, or enforcement.

If you voluntarily submit feedback, ideas, or suggestions, we may use them without restriction or compensation, provided we do not publicly identify you without permission unless the attribution is inherent in a public post.

Accounts, credentials, and security

Your membership, Discord role, account, credentials, invite links, and access rights are personal to you. You may not sell, sublicense, share, lend, or transfer them except through an authorized feature.

You are responsible for maintaining account security, keeping credentials confidential, using accurate information, and promptly notifying us of suspected compromise or unauthorized access. We may require reasonable verification before restoring or changing access.

Our intellectual property

The Service and its original content, branding, logos, graphics, layouts, videos, educational materials, tools, code, bots, documentation, and other materials are owned by or licensed to Socrates Investments and protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access applicable Service content for your personal, non-commercial educational use while your access remains valid. No ownership rights are transferred. Written permission is required for reproduction, redistribution, resale, public display, rebroadcast, derivative products, or commercial use.

Moderation, suspension, and termination

We may investigate activity; remove content; restrict channels or features; remove roles or rewards; mute, suspend, or ban users; and terminate free or paid access when we reasonably believe action is necessary to enforce these Terms, follow law, protect safety or security, address payment problems, prevent abuse, or preserve the Service.

Serious misconduct may result in immediate action without prior warning. Subscription status does not prevent moderation or guarantee continued community access. Termination for violation ordinarily does not create a right to a refund.

You may stop using the Service at any time. Deleting or leaving Discord does not automatically cancel a paid subscription; recurring billing must be canceled separately through the supported billing process.

Third-party platforms and services

The Service relies on third parties including Discord, LaunchPass, payment processors, WordPress.com, analytics providers, hosting services, AI providers, and other tools. Your use of those services may also be governed by their own terms and policies.

We do not control third-party availability, outages, security incidents, policy changes, account actions, payment decisions, or feature changes. We are not responsible for third-party acts or omissions except to the extent liability cannot lawfully be excluded.

Links to brokers, proprietary-trading firms, stores, platforms, or other websites do not constitute a guarantee or endorsement of every product, statement, or practice offered by those parties. Some links may be affiliate links, in which case we may receive compensation without increasing your price.

Availability and operational changes

We may maintain, modify, replace, suspend, or discontinue features, channels, schedules, bots, tools, content, or portions of the Service. Temporary interruptions may occur because of maintenance, technical problems, provider outages, security events, staffing, legal requirements, emergencies, or upgrades.

As the community evolves, the structure, format, delivery, and scheduling of benefits may change. Where practical, we will seek to preserve the overall nature or value of paid memberships, but no particular instructor, schedule, channel, feature, bot, platform, or item is guaranteed permanently.

Disclaimers and warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Socrates Investments disclaims express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and results.

We do not warrant that the Service will be uninterrupted, secure, error-free, complete, current, profitable, suitable for your needs, or free of harmful components. We do not guarantee the accuracy or outcome of content supplied by staff, bots, community members, analytics, or third parties.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

Limitation of liability

To the fullest extent permitted by law, Socrates Investments and its owners, affiliates, staff, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; trading losses; lost opportunities; lost data; loss of goodwill; or business interruption arising from or related to the Service.

To the fullest extent permitted by law, our aggregate liability for all claims arising from or related to the Service will not exceed the amount you paid directly for the applicable Service during the three months preceding the event giving rise to the claim.

These limitations do not apply where liability cannot lawfully be excluded or limited.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Socrates Investments and its owners, affiliates, staff, contractors, and representatives from claims, damages, losses, liabilities, costs, and reasonable legal fees arising from your misuse of the Service, violation of these Terms, violation of another person’s rights, unlawful conduct, or content you submit.

Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Subject to any rights or venue protections that cannot lawfully be waived, disputes arising from or relating to these Terms or the Service will be brought in the state or federal courts located in Delaware, and each party consents to their jurisdiction.

Changes to these Terms

We may modify these Terms as our services, providers, laws, or practices change. Each revision will display an updated effective date, and substantive revisions will be summarized on this page.

When a change is material, we will use one or more reasonable notice methods, which may include a website banner, Discord announcement, in-service notice, or direct communication where required or reasonably practicable. We will generally seek to provide at least 30 days’ advance notice before materially revised Terms take effect, unless an earlier effective date is reasonably necessary for legal compliance, security, fraud prevention, platform requirements, or protection of users or the Service.

Your continued use after revised Terms take effect constitutes acceptance to the extent permitted by law. If you do not agree, you must stop using the Service and cancel any recurring membership before its next renewal.

General provisions

• Entire agreement: these Terms, the Privacy Policy, displayed purchase terms, and applicable community or booking rules form the agreement governing your use of the Service.
• Severability: if a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective.
• No waiver: failure to enforce a provision does not waive our right to enforce it later.
• Assignment: you may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a reorganization, financing, sale, merger, or transfer of the Service or business.
• Headings: headings are provided for convenience and do not limit the meaning of a provision.
